1. LEASE DETAILS
1.1 Leased Trees
The Lessor hereby agrees to lease [Number of Trees] agarwood trees (Aquilaria malaccensis) to the Lessee, which will be grown and managed at Aetherial Natural Oils Corp.
1.2 Lease Duration
The lease term shall be 10 years from the date of signing, during which the trees will be cultivated, inoculated, and harvested.
1.3 Tree Identification & Tracking
Each leased tree will be assigned a unique identification number or Global Positioning System (GPS), and the Lessee will receive regular reports on growth, inoculation, and estimated yield potential.
2. INVESTMENT & PAYMENT TERMS
2.1 Lease Fee
The Lessee agrees to pay a one-time lease fee of Php 15,000 per tree, totaling Php 30,000.00 for two (2) trees.
2.2 Payment Schedule
- Full Payment: Due upon signing of the agreement, or

2.3 Revenue Distribution
Upon successful harvesting and extraction, the Lessee is entitled to a profit share of 40% from the revenue generated by their leased trees.

3. RESPONSIBILITIES OF PARTIES
3.1 Responsibilities of the Lessor (Plantation Owner)
The Lessor agrees to:
✅ Provide professional care, maintenance, and security for the trees.
✅ Implement scientific inoculation & resin induction techniques.
✅ Ensure CITES compliance, Wildlife Cultured Permit (WCuP) and other legal business permits.
✅ Conduct harvesting, oud oil extraction, and market sales.
✅ Share regular progress reports & financial updates with the Lessee.
3.2 Responsibilities of the Lessee (Investor)
The Lessee agrees to:
✅ Pay the agreed lease fee as per the payment schedule.
✅ Allow the Lessor to fully manage the trees throughout the lease term.
✅ Accept potential market fluctuations in oud oil and agarwood prices.
✅ Receive profits only upon successful harvesting & sale of agarwood products.
4. HARVESTING, PROCESSING & PROFIT DISTRIBUTION
4.1 Harvest Timeline
Trees will be inoculated at the optimal age and harvested between 8-10 years from planting.
4.2 Product Processing & Sale
The harvested agarwood will be processed into:
- Agarwood chips for incense markets
- Oud oil for the luxury perfume industry
4.3 Profit Calculation & Payment
After sales, net profits (after processing & operational costs) will be distributed to the Lessee based on the agreed percentage.
Estimated Profit Payouts:
- Annual dividend model: Profit sharing from incremental oud chips/oil sales
- Lump sum model: One-time payout at the end of the lease term
5. TERMINATION & FORCE MAJEURE
5.1 Lease Termination
This Agreement may be terminated:
- By mutual agreement in writing.
- By the Lessee if the Lessor fails to meet tree management obligations.
- By the Lessor if the Lessee fails to complete payments.
5.2 Force Majeure
Neither party shall be liable for any loss due to natural disasters, extreme weather, government actions, or other uncontrollable events.
6. DISPUTE RESOLUTION & GOVERNING LAW
Any disputes arising from this Agreement shall be resolved through mediation/arbitration under the laws of Philippines.
7. SIGNATURES & AGREEMENT
